Client Terms of Business

These Client Terms of Business apply to website design, development, launch, hosting, maintenance, support and related services provided by Bowery Studio.

1. Introduction

These terms apply to website design, development, launch, hosting, maintenance, support and related services provided by KRISHIV SHARMA trading as Bowery Studio.

They apply to business clients unless agreed otherwise in writing.

2. Definitions

Bowery Studio, we, us, our

KRISHIV SHARMA trading as Bowery Studio.

Client, you, your

The person, business or organisation buying or discussing Bowery Studio services.

Website

The website, page, design, build, CMS setup, files, configuration or related digital work created or supplied for the client.

Project

The agreed work described in a proposal, quote, invoice, email or written agreement.

Launch

The point where the website is published, connected to a live domain, transferred, handed over or otherwise made available for public or client use.

Proposal

A written proposal, quote, package confirmation, invoice, email or other written document setting out price, scope or payment terms.

Agreed scope

The services, deliverables, pages, features, inclusions, limits and responsibilities confirmed in writing.

Minor edit

A small change to existing website content, such as wording, images, opening hours, links, menu items, team details, service details or similar content updates. It does not include new pages, redesigns, new functionality, integrations, copywriting campaigns, photography, major layout changes, urgent technical recovery, SEO campaigns or work outside the agreed scope.

3. Services

Bowery Studio provides website design, development and related services. Exact services are confirmed in the proposal, quote, invoice, email or written agreement.

4. Packages

Launch

£795 one-off. Includes bespoke website design/build, responsive layout, contact/enquiry route, booking/order/menu/external links where relevant, basic SEO/performance setup, domain connection/launch support, safe editing access where agreed and 30 days post-launch technical support. No monthly support is included unless separately agreed.

Complete

£595 setup + £89/month. 6-month minimum term. Includes Launch plus technical care, hosting/maintenance responsibility, checks and minor edits. The first monthly payment is due before launch.

Growth

£895 setup + £139/month. 6-month minimum term. Includes Complete plus analytics, SEO foundations, quarterly improvement review and ongoing refinements. The first monthly payment is due before launch.

5. Project start

A project is not confirmed and Bowery Studio is not required to begin work until the client has accepted the proposal, quote, package, payment schedule and Client Terms in writing and the required upfront payment has been received.

Acceptance wording: “I confirm that I accept the Bowery Studio proposal, package, price, payment schedule and Client Terms of Business, and I authorise Bowery Studio to begin work.”

By approving the proposal or making payment, the client agrees to these Client Terms.

6. Payment

All prices are in GBP. Bowery Studio is not currently VAT registered unless stated otherwise on an invoice. If VAT registration applies later, VAT may be added where required.

Work may be paused if payment is late. A website may not be launched, transferred or handed over until all due payments are received.

7. Late payment

If payment is overdue, Bowery Studio may take reasonable and lawful steps to protect its position.

  • charge statutory interest and compensation where applicable

Business clients

For business clients, statutory interest may be charged where applicable under UK late commercial payment rules unless a different contractual rate applies.

8. Client responsibilities

The client must provide what Bowery Studio reasonably needs to deliver the agreed work.

Bowery Studio is not responsible for delays caused by missing content, late feedback, unavailable access or third-party issues outside Bowery’s control.

9. Content and legal compliance

The client is responsible for ensuring supplied content is lawful, accurate and not misleading. Bowery Studio may help structure content but does not provide legal, financial, medical or regulated professional advice.

10. Design direction and project brief

The design and build will be based on the agreed package, proposal, project brief, client information, design tailoring/content call, supplied assets and agreed business goals.

11. Presentation and revisions

Bowery Studio will present the completed website privately before launch. One organised revision round is included before launch unless agreed otherwise. Feedback should be provided in one consolidated message, document or email.

In-scope revisions may include

  • wording changes
  • image swaps
  • contact details
  • opening hours
  • menu or service details
  • links
  • minor layout refinements
  • section order adjustments

Out-of-scope changes require a separate fixed quote

  • new design direction
  • new pages
  • new functionality
  • new integrations
  • major restructuring
  • repeated design changes
  • new branding
  • extensive copywriting
  • SEO campaigns
  • photography
  • work caused by incomplete or inaccurate client information
  • anything outside agreed scope

12. Approval and client delay

If Bowery Studio has completed the agreed scope and the client delays feedback, approval or launch, the final balance remains payable.

A change of mind, delay in approval or refusal to launch work that reasonably follows the agreed brief does not remove the client’s obligation to pay for completed work.

Bowery Studio is not required to keep making repeated changes beyond the included revision round without a separate fixed quote.

13. Launch and handover

Before launch, transfer, handover, publication, final access or release of files/materials, all due payments must be received, launch-critical content must be approved and final checks must be completed where applicable.

14. Minor edits

Complete includes up to 5 minor content edits per month. Growth includes up to 10 minor content edits per month. Unused edits do not roll over.

15. Hosting and third-party services

Websites may rely on third-party services. Bowery Studio is not responsible for outages, price changes, policy changes, data loss, account restrictions, service failure or security issues caused by third-party providers outside Bowery’s reasonable control. Where Bowery manages hosting or technical care, Bowery will take reasonable care but does not guarantee uninterrupted availability.

16. Domains

The client should own their domain unless agreed otherwise. Bowery Studio may assist with purchase, DNS and domain connection. The client is responsible for renewal fees unless Bowery agrees otherwise in writing. Bowery is not responsible for domain loss caused by missed renewals, failed payment methods, incorrect client details or registrar issues outside Bowery’s control.

17. Email

Bowery Studio may assist with business email setup, but email services are normally third-party services. The client is responsible for email account use, passwords, storage, billing and compliance unless agreed otherwise.

18. Ownership

The client receives the right to use the final website for their own business once all due payments are made. The client must not resell, copy, repackage or reuse Bowery’s code, system or design structure as a template or competing product.

19. Launch package specific terms

Launch includes 30 days of post-launch technical support. After 30 days, Bowery Studio has no ongoing responsibility unless a separate support, hosting or maintenance arrangement is agreed.

20. Complete and Growth specific terms

Complete and Growth continue while payments remain active. If monthly payments stop, Bowery Studio may suspend ongoing services and support where reasonable and lawful. Managed services depend on active payment.

21. Handover for Complete and Growth

Complete and Growth clients may request handover after the 6-month minimum term, provided all payments are up to date. The standard handover fee is £395.

22. Cancellation

Launch

If the client cancels after work starts, Bowery Studio may retain payment for work completed, planning, design, development, administration and reserved capacity. Upfront payments are generally non-refundable once work has started.

Complete and Growth

Complete and Growth have a 6-month minimum term. After the minimum term, they continue monthly unless cancelled with 30 days’ written notice. Monthly payments already paid are generally non-refundable.

23. Project delays

If the client delays a project by failing to provide content, access, feedback or approval, Bowery Studio may pause the project. If a project is paused for more than 30 days due to client delay, Bowery may reschedule work and charge a fixed restart/update fee if additional work is required.

24. Portfolio use

Bowery Studio may display completed work in its portfolio, case studies, proposals, social media and marketing unless the client requests otherwise in writing before launch.

25. Liability

Bowery Studio is not liable for indirect loss, loss of profit, loss of revenue, loss of business, loss of goodwill or loss of data. Bowery Studio’s total liability is limited to the amount paid by the client for the relevant project or services giving rise to the claim. Nothing limits liability where it would be unlawful to do so.

26. Force majeure

Bowery Studio is not responsible for delay or failure caused by events outside reasonable control, including internet outages, platform outages, illness, supplier issues, extreme weather, war, cyber incidents, government action or similar events.

27. Governing law

These terms are governed by the laws of Scotland. The Scottish courts will have jurisdiction unless another jurisdiction is required by law.
